Simply Kids Seller Agreement
Please review as every consignor will need to sign this during Drop-Off in order to participate in the Simply Kids Sale.
THIS CONSIGNMENT AGREEMENT IS MADE BETWEEN _______________________ (THE CONSIGNOR)
AKA __________________ (CONSIGNOR NUMBER) AND SIMPLY KIDS SALE (AKA DENYSE KEIPER AND JODY GIBBONEY)
IT IS AGREED AS FOLLOWS – Initial each section in the box provided:
□Consignor agrees to allow Simply Kids Sale, LLC to sell any or all items checked into the Simply Kids Sale. The Consignor is responsible for tagging each item and setting the selling price. Discount and donate options are available for the consignor to complete via the Simply Kids Online Tagging System.
□Seller agrees that the distribution of proceeds from the sale of each item will be as follows: Seller is responsible for a $12.00 registration fee due at the time of drop off. The seller will receive 70% of their profits and Simply Kids will receive 30% if seller volunteers to work a 3 hour shift. However, if the seller does not complete work shift as agreed upon with Simply Kids, seller will receive 45% and Simply Kids will receive 55% and will not be allowed to participate as a volunteer worker or attend any future Worker Preview Parties. Some extenuating circumstances will be considered. The Seller will receive 60% and Simply Kids 40% if the Seller only consigns and does not volunteer. Seller will receive an additional $5.00 in proceed check if seller refers 3 new consignors selling a minimum of 25 items per consignor. Simply Kids will mail checks within 1-2 weeks from the conclusion of the sale.
□Consignor agrees to comply with the list of unacceptable items, per www.simplykidssale.com and understands that items checked into the sale that do not meet our criteria will be removed from the sales floor.
□ Seller agrees that on the last date of the sale, all unsold items will be sold for half of the price originally designated by the seller unless a "ND" visibly appears and is encoded into the barcode beside the price.
□Seller gives permission that items found with no price indicated on the tag will be sold at fair market price to be determined by the opinion of Simply Kids Sale Staff. Seller agrees to accept this pricing as final. If a price cannot be reasonably determined then the item will not be sold.
□Seller understands that it is their responsibility to fill out each item's tag completely and properly. Seller agrees that any item found WITHOUT A CONSIGNOR NUMBER or an INVALID CONSIGNOR NUMBER on their tag will be sold at Simply Kids discretion, and that consignors cannot expect to receive credit for items found without a proper consignor number.
□Seller agrees that any items found WITHOUT A CARD during the sale will be placed in Lost and Found. Sellers may look through these items at pick-up for identification. Any items not identified during that time will become the property of Simply Kids after the pick-up period is over.
□Seller agrees that no claims will be made against Simply Kids Sale, LLC for any discrepancies involving items placed in the sale.
□Consignor gives consent to Simply Kids, to take possession of any items not picked up by the end of the designated pick-up period. Items marked as donate will become the property of Simply Kids and a a donation will be made to local charity. The pick-up period can be found on the website at www.simplykidssale.com or by calling 610-906-1588.
□Consignor agrees to hold harmless and make no claim against Simply Kids, LLC, the lessors of the space where the sale is held, any volunteer or paid participants in the sale, or the insurer of Simply Kids, LLC for any damage, theft or loss of any items consigned to Simply Kids, LLC. Consignor assumes the risks of these events occurring by participating in the sale.
□Consignor or Volunteer agrees to waive any and all claims for personal injury resulting from participation in the sale from whatever cause against Simply Kids, LLC, the lessors of the space where the sale is held, any volunteer or paid participants, or the insurer of Simply Kids, LLC.
□This agreement will remain in force for any future Simply Kids Sale, LLC, unless cancelled in writing by either party and delivered to the other party.
□Workers who do not fulfill their obligation are subject to a 25% deduction of their proceeds check and will not be allowed to participate as a volunteer worker or attend any future Worker Preview Parties. Some extenuating circumstances will be considered.
